TERMS OF SERVICE
Introduction: This Terms of Service Agreement ("Agreement") is entered into between Pro Trade Leads ("Service Provider") and the user ("Client"). By using the text lead marketing services provided by Pro Trade Leads, the Client agrees to comply with and be bound by the following terms and conditions. Services Provided: Pro Trade Leads agrees to provide text lead marketing services, which include the creation, execution, and management of text marketing campaigns, as well as the collection and provision of leads to the Client. Term: This Agreement shall commence on the date the Client subscribes to the services and shall continue on a month-to-month basis unless terminated as provided herein. Payment Terms: The Client agrees to pay the Service Provider through Stripe. Payment is due upon receipt of the invoice and auto-renews monthly. Failure to pay on time may result in suspension or termination of services. Client Responsibilities: Provide necessary information and approvals for the text marketing campaigns. Ensure that the content and usage of leads comply with all applicable laws and regulations. Promptly communicate any changes or issues that may affect the services provided. Confidentiality: Both parties agree to keep all information related to this Agreement confidential and not disclose it to any third party without prior written consent, except as required by law. Termination: Either party may terminate this Agreement with a 30-day written notice. In the event of termination, the Client will pay for all services rendered up to the termination date. Limitation of Liability: The Service Provider shall not be liable for any indirect, incidental, or consequential damages arising out of or related to this Agreement. The total liability of the Service Provider shall not exceed the amount paid by the Client for the services provided. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations. Any modifications to this Agreement must be made in writing and signed by both parties. FULFILLMENT POLICY
Overview: At Pro Trade Leads, we are committed to delivering high-quality marketing services with clear, consistent communication and timely execution. This policy outlines our approach to fulfilling the services we offer to our clients, including timelines, communication protocols, and client responsibilities. Service Fulfillment: Project Initiation: Once payment is confirmed, clients will receive an email and/or text confirmation within 24 hours detailing the service/s purchased, project timeline, and next steps. A dedicated account specialist will be assigned to the project to ensure personalized service. Onboarding: After the initial payment is submitted, it takes a minimum of 5 business days to get your account fully set up and running. During this period, you will receive instructions on how to provide us with any necessary information and access needed to start your campaign. Project Timeline and Deliverables: Marketing campaigns are structured to run for 17 business days from the start date, excluding weekends and major United States holidays. The account manager will provide clients with a detailed schedule including key milestones, expected delivery dates for drafts, and final outputs. Client Collaboration: Clients are expected to provide all necessary information and approvals promptly to avoid delays in the fulfillment process. Communication will primarily be conducted via text and email, with options for scheduled calls to discuss project progress. Revisions and Adjustments: Pro Trade Leads offers up to one (1) on delivered materials to ensure client satisfaction. Additional revisions may incur further charges. Requests for revisions must be submitted within five business days of receiving any deliverables. Final Delivery: Final project deliverables will be provided via email or through a secure online platform, as agreed upon at the start of the project. Clients will receive a completion report summarizing the project outcomes and any recommendations for future marketing efforts. Post-Delivery Support: Clients will receive support Monday - Friday from 9am to 4pm Central time. The best way to receive support is by emailing us at help@protradeleads.com or texting us at (314) 270-2210. Further support or new projects will be treated as new engagements. Cancellation Policy: Services are provided on a month-to-month basis. Clients wishing to cancel must provide a 30-day written notice to help@protradeleads.com. Cancellations received less than 30 days before the next billing cycle will be processed for the following month. Handling Bounced Payments: In the event of a bounced payment, help@protradeleads.com will notify the client via email to request an alternative payment method. A grace period of 7 days will be provided for the client to rectify the payment issue. If the payment is not settled within this period, services may be paused until the issue is resolved. Repeated payment failures may result in a review and possible termination of the service agreement. Refund Policy: Due to the nature of our services, Pro Trade Leads does not typically offer refunds once work has commenced. However, we strive to resolve any client concerns through revisions and dedicated support. Clients may cancel within 48 hours of the initial payment for a full refund if no work has been initiated. SERVICE AGREEMENT
Parties: This Service Agreement ("Agreement") is entered into on [Date], between: Pro Trade Leads, located at 133 N 33rd St. #303 Quincy, IL. 62301 ("Service Provider"). [Client Name], located at [Client Address] ("Client"). Scope of Services: Pro Trade Leads agrees to provide text marketing lead generation services as outlined below: Develop and execute text marketing campaigns. Collect and provide leads to the Client. Analyze and report on campaign performance. Term and Renewal: This is a monthly agreement that automatically renews. Unless we receive written notice, the payment and campaign will auto-renew each month. Compensation: The Client agrees to pay Pro Trade Leads through Stripe. This is a per-month contract, and payments are due upon receipt and will automatically renew each month. Cancellation Policy: Either party may cancel this Agreement with 30 days' written notice. Refund Policy: No refunds will be provided. Once a payment is received, the Client may either use the service or have a credit on their account for up to 4 months to use toward future services. Bounced Payment Policy: If a payment is returned or bounces, the Client has 3 days to bring their payment current. All services will be paused until the payment is cleared. Communication: All communications should be made exclusively through our company phone line at (314) 270-2210 or via email at help@protradeleads.com. Clients are not authorized to contact Spencer Schelp directly through social media or other personal channels. Please use only the provided communication methods. Fulfillment: Pro Trade Leads agrees to send all agreed-upon text messages each month. We will pull a minimum of 4,000 contacts for the Client. However, we cannot guarantee that all these contacts will be texted due to issues such as the Do Not Call list or invalid phone numbers. If there are delays, whether within our control or not, we cannot be held responsible. We will still send the appropriate number of text messages in a timely fashion by accelerating the campaign. Note that text messages are generally sent Monday-Friday from 9am to 4pm Central time, with exceptions as needed. We do not operate on holidays. Data Ownership: Pro Trade Leads retains all rights to the data collected and used during the service. The data will not be resold or given access to the Client. No Guarantees: The Client understands that we do not offer any assurances about the quantity of leads or the amount of revenue that may result from using our services. Hold Harmless: The Client agrees to hold Pro Trade Leads harmless and waives the right to bring any claims or lawsuits against us. Pro Trade Leads is not liable for any indirect, incidental, or consequential damages arising from this Agreement. Dispute Resolution: Any disputes arising under this Agreement shall be resolved through written communication between the parties. If Pro Trade Leads delivers the agreed-upon services, there shall be no grounds for dispute. Force Majeure: Neither party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond their control, including but not limited to acts of God, natural disasters, war, or other unforeseen events. Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices: All formal notices under this Agreement shall be delivered via email to the respective parties at the addresses provided. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Illinois. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations.
